Job Description

We are looking to hear from experienced risk management professionals for an exciting opportunity as Head of Corporate Risk with a leading investment management firm.

 

The Role

  • Providing an in-depth second line review of proposed corporate transactions and initiatives

  • Producing board and committee papers outlining key areas of risk to the company from corporate transactions

  • Acting as an advisor to the CRO on key strategic developments and the risks and opportunities these pose

  • Conducting reviews of selected business areas with a focus on risks to revenue streams and business strategies.

 

Key Responsibilities

  • Attending project meetings with the corporate development team to understand the direction of travel for corporate developments in order to gain as full an insight as possible to corporate transactions

  • Providing independent risk and compliance review of corporate transactions and developments, particularly in relation to risks posed to the company’s strategy, shareholders, clients and customers

  • Oversee and coordinate R&C due diligence activities required in relation to corporate transactions and developments.

  • Where appropriate engaging with the Global Head of Operational Risk and the Global Head of Conduct & Compliance to ensure that the proposed developments are in line with the operational risk appetite of the company and regulator’s expectations (in terms of both conduct and compliance)

  • Review of third party opinions/documents in relation to corporate transactions

  • Support the Risk & Compliance review of transaction-related documents (for example shareholder circulars)

  • Working with external legal and corporate advisors to understand and, where appropriate, shape the nature of corporate developments and transactions

  • Managing a small team which conducts reviews of key business areas focussing on risk to revenue streams and business strategies

  • Consultation and stakeholder engagement in relation to findings of reviews of key business areas

  • Presentation of reviews to key executive and board risk committees


 

Qualifications

  • Degree qualified or relevant professional qualifications e.g. legal, para legal, risk management, accountancy

 

Skills & Experience

  • Detailed knowledge of the asset management industry and key developments

  • Ability to quickly digest complex information and identify key areas for consideration

  • Ability to succinctly update and persuasively advise executives (including board members) on the risks associated with corporate developments

  • Highly credible operating at all levels across the company
